1.4. Uprankx reserves the right to suspend or terminate services in case of non-payment.
2.1. Uprankx reserves the right to terminate the contract if the Client violates these terms or engages in unethical business practices.
3.1. The Client should not engage with any other agency, consultant, or employee for the same tasks assigned to Uprankx during the contract period unless agreed in writing.
3.2. The Client should not share any proprietary processes provided by Uprankx with third parties.
4.1. The Client owns all final deliverables once payment has been made in full.
4.2. Uprankx retains the right to use pre-existing tools, templates, or intellectual property in future projects.
4.3. The Client grants Uprankx the necessary rights to use the Client’s intellectual property solely for project execution.
5.1. Uprankx will not work on an SEO or content project for a direct competitor (same offering, same audience) of the Client during the contract unless permitted in writing.
6.1. Both parties shall maintain the confidentiality of shared proprietary and sensitive information.
6.2. The Client shall not disclose any strategies, techniques, or insights provided by Uprankx without prior written consent.
7.1. Neither party shall be liable for damages that were not reasonably foreseeable at the time of entering this contract.
7.2. Uprankx is not liable for losses due to third-party tools, software, or algorithm changes that impact performance.
8.1. Uprankx may use the Client’s logo, testimonials, and case studies for marketing purposes unless otherwise stated in writing.
8.2. The Client agrees to provide a fair review or feedback based on service performance.
9.1. Both parties agree to resolve disputes amicably. If unresolved, the jurisdiction for disputes shall be New Delhi, India.
10.1. This agreement remains binding and irrevocable unless otherwise stated by law or mutual agreement.
11.1. Neither party shall be held liable for delays due to unforeseen circumstances such as natural disasters, strikes, government actions, or technical failures beyond control.
12.1. The Client agrees to indemnify Uprankx against any claims, losses, or damages arising from the use of our services.
12.2. Uprankx is not responsible for any penalties or losses resulting from external changes in search engine algorithms, ad policies, or third-party service failures.
13.1. Uprankx does not guarantee specific rankings, traffic, or conversion rates but will employ industry best practices.
13.2. The Client must provide timely approvals and necessary resources for project execution; delays from the Client’s side may impact performance and timelines.
14.1. The Client must provide accurate and up-to-date information required for service execution.
14.2. The Client is responsible for ensuring that their website and marketing materials comply with legal and regulatory requirements.
15.1. Uprankx reserves the right to update these terms and conditions at any time. Clients will be notified of significant changes.
